Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nuvik AI application and related services (collectively, the “Service”), provided by Nuvik AI (Snowcat Cloud, Inc.) (“Nuvik”, “we”, “us”, or “our”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

License & Use of Service

Subject to these Terms, Nuvik grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Service on Apple-branded devices you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, and in accordance with the Apple Standard EULA. The Service may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing as permitted by Apple.

You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service. You are responsible for all activity that occurs under your use of the Service, including safeguarding access to your device and credentials.

Subscriptions & Billing

Indemnification

You agree to indemnify, defend, and hold harmless Nuvik AI (Snowcat Cloud, Inc.), its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or rights of a third party.

Disclaimers & No Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVIK AI (SNOWCAT CLOUD, INC.) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

Limitation of Liability

To the maximum extent permitted by law, Nuvik AI (Snowcat Cloud, Inc.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. In no event shall our total liability exceed the amount you paid (if any) for using the Service in the twelve (12) months prior to the claim.

Termination

We may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including if you violate these Terms. Upon termination, your license to use the Service will immediately cease.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. You agree that any dispute shall be brought exclusively in the courts located in California, USA.

Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure by Nuvik AI (Snowcat Cloud, Inc.) to enforce any right or provision under these Terms shall not be considered a waiver of such right or provision.

Entire Agreement & Changes

These Terms constitute the entire agreement between you and Nuvik AI (Snowcat Cloud, Inc.) regarding your use of the Service and supersede all prior agreements or understandings. We may revise these Terms at any time by posting the updated version in the app or on our website. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Apple Disclaimer

You acknowledge that these Terms are between you and Nuvik AI (Snowcat Cloud, Inc.) only, not with Apple Inc., and that Nuvik is solely responsible for the Licensed Application and its content. Nuvik is solely responsible for providing any maintenance and support services with respect to the Licensed Application as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application.

Warranty Remedy (Apple Refund)

To the extent any warranty cannot be effectively disclaimed, in the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Nuvik’s sole responsibility.

Product Claims

You and we acknowledge that Nuvik, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Rights

You and we acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, Nuvik (and not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance (Export Controls)

By using the Service you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Terms of Agreement

When using the Service, you must comply with applicable third-party terms of agreement. For example, if you use a VoIP or mobile data connection, you must not be in violation of your wireless data service agreement, and when you connect third-party AI providers or services, you must comply with those providers’ terms and privacy policies.

Third-Party Beneficiary (Apple)

You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms with respect to the Licensed Application, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Arbitration & No Class Action

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall take place in California, United States, in the English language, and the arbitrator’s decision may be entered and enforced in any court of competent jurisdiction.

You and Nuvik AI (Snowcat Cloud, Inc.) each waive the right to a trial by jury and to participate in any purported class, collective, or representative proceeding. Disputes must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative action.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for the protection of intellectual property rights or confidential information.
